1. Overview and scope
This Affiliate Program Agreement (this "Agreement") sets out the terms on which you may take part in the CargoDuo affiliate and referral program (the "Program") operated by CargoDuo ("CargoDuo", "we", "us" or "our"). The Program lets you introduce new customers to the CargoDuo load-planning service (the "Service") and earn a reward when an introduction you make becomes a paying customer. It has two lanes — a Referral lane that rewards existing CargoDuo users with a one-time cash bonus, and an Affiliate lane that rewards approved external partners with recurring cash commission — described in Sections 3, 6 and 7. Every reward is accrued and settled in US dollars and paid out by CargoDuo; the Program does not grant CargoDuo account credit. This Agreement applies to everyone who takes part, whether you join from inside the product or as an external partner, and must be read together with our Terms of Service at /legal/terms, our Privacy Policy at /legal/privacy and, because rewards depend on confirmed payments, our Refund Policy at /legal/refund. The seller and merchant of record for every CargoDuo purchase is Paddle ("Paddle"): the Program rewards you for introductions, but Paddle remains responsible for taking payment, issuing the invoice and receipt, and calculating, collecting and remitting applicable tax (see Section 14). The Program is offered at our discretion, and we may open, limit, pause or close it — in whole or for any individual participant — as described in Sections 16 and 18.
2. Definitions
In this Agreement, the following terms have the meanings set out here. "Participant", "you" or "your" means a person or organization taking part in the Program. "Referral" means a Participant who takes part through the in-product Refer & Earn feature and is rewarded with a one-time cash bonus. "Affiliate" means an approved external partner who is rewarded in cash commission. "Referral Link" and "Referral Code" mean the unique link and code we issue to identify the customers you introduce. "Referred Customer" means a new customer who reaches CargoDuo through your Referral Link or Referral Code and who did not already have a CargoDuo account. "Qualifying Purchase" means a paid CargoDuo subscription bought by a Referred Customer and confirmed as paid through Paddle, excluding free trials, unredeemed passes, tax, and any refunded, charged-back or credit-funded amount. "Commission" means the recurring cash reward on the Affiliate lane; "Referral Bonus" means the one-time cash bonus on the Referral lane; together they are "rewards", and both are denominated in US dollars. "Attribution" means our linking of a Referred Customer to you under Section 9. "Holding Period" means the confirmation window in Section 10. "Confirmed" describes a reward that has cleared the Holding Period and become payable; "Reversed" describes a reward clawed back under Section 11. "Payout Threshold" means the minimum balance in Section 12.
3. Two ways to earn — Referral bonus and Affiliate commission
The Program rewards introductions in two different ways, and which one applies to you depends on how you take part. The Referral lane is for existing CargoDuo users who want to recommend the Service to peers: every account includes a personal Referral Link and Referral Code on the in-product Refer & Earn page, and when someone you refer becomes a paying customer you earn a fixed, one-time cash bonus (Section 6). The Affiliate lane is for external partners — consultants, content creators, communities and others who can refer paying customers at volume — who earn recurring cash commission instead (Section 7). Both lanes settle in cash, in US dollars, and are paid out by CargoDuo; neither is paid as CargoDuo account credit. The lanes are mutually exclusive. For any given introduction, a single Referred Customer generates either a Referral Bonus or Affiliate Commission, never both. And a Participant earns through only one lane at a time: most participants begin on the Referral lane automatically, the Affiliate lane requires our approval (Sections 4 and 5), and once you are approved as an Affiliate the Refer & Earn referral-bonus program is no longer active for you and that surface becomes read-only.
4. Eligibility
To take part in the Referral lane you need an active CargoDuo account in good standing; the Refer & Earn page is available to signed-in users whenever the Program is open. To take part in the Affiliate lane you must apply and be approved by us, and approval is at our sole discretion. In each case you must be at least 18 years old, have the legal capacity to enter into this Agreement, and — if you take part on behalf of an organization — have authority to bind it. You must not be located in, or ordinarily resident in, a comprehensively sanctioned territory, and you must not be a person or entity with whom we are prohibited from dealing under applicable sanctions or export-control law. You may hold only one Program account, and you may not earn a reward on your own subscription, on a subscription bought by an account or organization you control, or on introductions to people acting in concert with you (see Section 15). We may decline, limit, suspend or revoke participation in the Affiliate lane at any time, at our discretion, including while new joins are temporarily paused.
5. How to join and acceptance of this Agreement
You join the Referral lane simply by using your Referral Link or Referral Code from the in-product Refer & Earn page; by using it, and by taking part in the Program, you accept this Agreement. You join the Affiliate lane by applying and being approved, and by accepting this Agreement at that time; we record the version of the Agreement you accepted and the date of acceptance. We may ask Affiliate applicants for the information we reasonably need to operate the Program and to meet our legal, tax and anti-fraud obligations — for example, the channels you intend to promote through and the payout details to which approved Commission should be sent. You are responsible for keeping that information accurate and current, and we may withhold or delay a payout where required details are missing, unverified or inconsistent. If you do not agree to this Agreement, do not take part in the Program.
6. The Referral lane — cash bonus for in-app referrals
On the Referral lane, when a Referred Customer you introduced makes their first Qualifying Purchase, you earn a fixed, one-time cash Referral Bonus. The amount is the figure shown on your Refer & Earn page at the time of the conversion (currently USD 20 per new paying customer); it accrues to your Program balance in US dollars and is paid out in cash by CargoDuo in the same way as Affiliate Commission (Section 12) — it is not CargoDuo account credit and is not applied to your own invoices. The Referral Bonus is earned once per Referred Customer, on their first Qualifying Purchase only and not on their renewals; there is no limit on the number of different customers you may refer. Like every reward under this Agreement, the Referral Bonus is provisional until it clears the Holding Period in Section 10, and it is subject to reversal under Section 11 if the underlying payment is refunded or charged back. The Referral lane is available while you participate as a Referral; if you are approved as an Affiliate, the referral-bonus program is no longer active for you (Section 3), though Referral Bonuses already Confirmed remain payable. A Confirmed Referral Bonus is forfeited if your account is closed for cause under Section 16.
7. The Affiliate lane — cash commission
On the Affiliate lane, when a Referred Customer you introduced makes a Qualifying Purchase, you earn a cash Commission calculated under Section 8. Commission accrues to your Program balance as each qualifying invoice is paid, is held for confirmation under Section 10, and becomes payable once Confirmed and once your Confirmed balance reaches the Payout Threshold in Section 12. Unlike the one-time Referral Bonus, Commission recurs across a Referred Customer's first year of payments rather than being a single reward; both lanes are paid to you in cash and are never applied as CargoDuo account credit. Commission is available only to Affiliates we have approved; an unapproved participant earns the Referral Bonus, not Commission, and the two are mutually exclusive (Section 3). Your Program balance, the Referred Customers attributed to you, and the status of each Commission (pending, confirmed, paid or reversed) are visible to you in your Program dashboard.
8. Commission rate and duration
Unless your approval states a different rate in writing, Commission is twenty-five percent (25%) of the net subscription amount of each Qualifying Purchase made by a Referred Customer, for that customer's first twelve (12) months as a paying customer, counted from their first Qualifying Purchase. "Net subscription amount" means the amount actually paid for the CargoDuo subscription through Paddle, excluding tax, any one-time or pass charge we designate non-commissionable, refunded or charged-back amounts, and any account credit applied to the invoice. Where a Qualifying Purchase is paid in a currency other than US dollars, the commissionable amount is converted to US dollars as described in Section 12. Commission recurs within the twelve-month window: each time the Referred Customer renews or is billed during that window, a further Commission accrues on that payment, up to the twelve-month cap, after which no further Commission accrues for that customer even if they remain a CargoDuo customer. If a Referred Customer cancels and later re-subscribes, payments made after a lapse may not be commissionable. We may change the rate, the duration or the commissionable base for future Attributions as described in Section 18, but a change does not alter Commission already accrued on existing Attributions.
9. Attribution and tracking
We attribute a Referred Customer to you on a last-click basis within a sixty (60) day window. When someone follows your Referral Link, we record your code in their browser; if they create a CargoDuo account within sixty (60) days, the account is attributed to you, unless a more recent valid referral from another Participant intervenes, in which case the most recent referral wins. A Referral Code entered directly at sign-up is honored within the same window. Attribution applies only to genuinely new customers: it does not apply to people who already have, or have previously had, a CargoDuo account, nor to a re-registration of an existing organization, and each Referred Customer can be attributed to only one Participant. An introduction that resolves to yourself — the same person, organization, account or billing identity — is treated as a self-referral, earns no reward, and is addressed in Section 15. Attribution depends on the customer's browser accepting our referral cookie and on the integrity of the referral data; where cookies are blocked, cleared or expired and no Referral Code is entered, we may be unable to attribute an introduction. Our records of clicks, codes, sign-ups, Attributions and payments are the authoritative basis for every reward under this Agreement.
10. Confirmation and the holding period
Every reward starts as pending and must clear a holding period before it becomes payable. When a Qualifying Purchase is paid, the resulting Referral Bonus or Commission is recorded as pending and held for forty-five (45) days from the date of the underlying payment. This Holding Period covers the time during which a payment could still be refunded or charged back — including the good-faith refund window and the statutory cooling-off period described in our Refund Policy at /legal/refund — so that we pay rewards only on revenue we are confident we will keep. A reward that survives the Holding Period without the underlying payment being refunded or charged back becomes Confirmed: a Confirmed Referral Bonus or Commission counts toward your Payout Threshold and becomes eligible for payout under Section 12. A reward whose underlying payment is refunded or charged back, during or after the Holding Period, is handled under Section 11.
11. Refunds, chargebacks and clawback
Rewards are earned on revenue we actually keep, so a reward is reversed if the payment behind it is undone. If a Referred Customer's payment is refunded (in whole or in part), charged back, disputed and lost, or otherwise reversed, the corresponding Referral Bonus or Commission is reversed too — a "clawback" — and a partial refund results in a proportionate reversal. If the reward was still pending, we simply cancel it. If it had been Confirmed but not yet paid, we deduct the reversed amount from your balance. If it had already been paid out, we offset the reversed amount against your future rewards, and where your balance is insufficient to cover repeated reversals we may invoice you for, or otherwise recover, the net amount owed. Clawback applies regardless of when the refund or chargeback occurs, because a refund can fall outside the Holding Period. Patterns of refunds, chargebacks or disputes concentrated on your Attributions may also be treated as a sign of the prohibited conduct described in Section 15.
12. Minimum payout threshold and how payouts are made
Rewards are paid out only once your Confirmed, unpaid balance reaches a minimum Payout Threshold of five hundred US dollars (USD 500), unless your approval or your Program settings record a different threshold for you. Until your Confirmed balance reaches that threshold it carries forward and continues to accumulate; there is no charge for carrying a balance and we do not pay interest on it. Payouts are made manually by CargoDuo — they are not automatic and not instantaneous — typically in periodic payout runs after a balance has cleared both the threshold and the Holding Period, using the payout method and details you provided and we verified, such as a bank transfer. US dollars are the single settlement currency for the Program. Referred Customers may pay for their subscription in their own currency (for example, Turkish lira, and other currencies we add over time), and we convert each earning into US dollars at a conversion rate that CargoDuo sets and updates periodically; the rate applied to a given earning is recorded with that earning, and an amount already converted to US dollars is not recalculated if the rate later moves. An earning that arises in a foreign currency for which we have not yet set a conversion rate is held, and becomes payable, once we set the rate. We are not responsible for differences caused by exchange-rate movements or by fees charged by your own bank or payment provider. We may set a sensible minimum interval between payout runs, may bundle multiple Referred Customers into a single payout, and may withhold a payout while a balance is under review for suspected prohibited conduct (Section 15), while required payout or tax details are missing or unverified, or while a refund or chargeback affecting your balance is unresolved. Both the Referral Bonus and Commission are paid in cash through this single mechanism; the Program does not pay rewards as CargoDuo account credit.
13. Independent participation and taxes
You take part in the Program as an independent party. Nothing in this Agreement or the Program creates an employment, agency, partnership, joint-venture or franchise relationship between you and CargoDuo; you have no authority to bind us, to make representations on our behalf, or to enter into commitments in our name, and you must not hold yourself out as doing so. You are solely responsible for all taxes, levies and social contributions arising from any reward you receive, including income tax and any value-added or sales tax on your own services, and for any registration, invoicing, reporting and filing those taxes require where you operate. Rewards are paid gross; we do not withhold or remit tax on your behalf except where applicable law requires us to, in which case we may withhold as required and may ask you for the tax information and documentation needed to determine the correct treatment and to meet our own reporting obligations. You are responsible for your own costs of taking part in the Program. This Section sits alongside Section 14, which concerns the tax that Paddle, as merchant of record, charges the customer on their purchase — a separate matter from the tax on your reward.
14. Paddle as Merchant of Record
Every CargoDuo subscription is sold through Paddle, which acts as our reseller and merchant of record: Paddle takes the customer's payment, issues the invoice and receipt, and calculates, collects and remits the VAT, sales tax and similar transaction taxes due on the purchase worldwide. The Program operates on top of that arrangement. Because a reward is earned only on a payment that Paddle confirms as collected and kept, the records Paddle provides to us about payments, refunds and chargebacks determine when a reward is Confirmed (Section 10) or Reversed (Section 11). Card and payment-method data is handled entirely within Paddle's secure environment and is never seen or stored by CargoDuo, and the customer's purchase is additionally governed by Paddle's buyer terms presented at checkout. The tax Paddle charges a customer on their subscription is excluded from the commissionable base (Section 8) and is separate from the tax you are responsible for on your own reward (Section 13).
15. Prohibited practices
To keep the Program fair and to protect the CargoDuo brand, you must promote the Service honestly and must not engage in any of the following. Self-referral: referring yourself, your own account or organization, an account you control, or anyone acting in concert with you to manufacture a reward; offering to rebate or share your reward as an inducement to sign up is treated the same way. Spam and unsolicited messaging: sending unsolicited bulk email, SMS, direct messages or other unsolicited communications, or posting your Referral Link where doing so violates a platform's rules, anti-spam law or another party's terms. Brand bidding: bidding on or buying "CargoDuo" or confusingly similar terms, including common misspellings, as keywords in search-engine or other paid advertising, or running ads that route to CargoDuo through your Referral Link in a way that competes with our own advertising or impersonates us. Cookie stuffing and forced or fake clicks: dropping referral cookies without a genuine, intentional click, or using hidden frames, pop-unders, auto-redirects, bots or any technique that fabricates clicks, impressions or sign-ups. False or misleading claims: misrepresenting CargoDuo, its features, pricing, performance or your relationship with us; promising results we have not stated; or publishing deceptive reviews, fake testimonials, or unauthorized use of our trademarks or creatives. Coupon, deal-site and incentive abuse: operating or posting to coupon, voucher or cashback sites in a way that intercepts customers who would have purchased anyway, advertising discounts or codes we have not authorized, or otherwise claiming credit for demand you did not create. Registering domains, social handles, or app or store listings that incorporate our name or brand, and any other conduct that is unlawful, deceptive or harmful to CargoDuo, our customers or other Participants, is likewise prohibited. Rewards connected to prohibited conduct are not earned and may be withheld, reversed or forfeited; we may suspend or terminate your participation under Section 16; and our determination, made in good faith on the basis of our records, is final for Program purposes.
16. Suspension and termination
You may leave the Program at any time by stopping your participation and, for the Affiliate lane, by notifying us at info@cargoduo.com. We may suspend or terminate your participation, withhold or cancel pending rewards, and reverse rewards traceable to a breach, at our discretion — and immediately and without prior notice where we reasonably believe you have engaged in conduct prohibited by Section 15, breached this Agreement or our Terms of Service, or created a legal, security or reputational risk to CargoDuo. We may also pause or close the Program as a whole, or either lane, as described in Section 18. On termination for any reason, your Referral Links and Codes stop earning, and pending rewards that have not Confirmed are cancelled; Confirmed rewards at or above the Payout Threshold that were earned in compliance with this Agreement will be paid in the ordinary course, while Confirmed amounts below the threshold may be forfeited. On termination for cause under this Section, including for prohibited conduct, all unpaid rewards — pending and Confirmed — may be forfeited, and any reward already paid that is traceable to the breach may be clawed back under Section 11. The provisions that by their nature should survive — including Sections 11, 13, 15, 17 and 19 — survive termination.
17. No warranty and limitation of liability
The Program is provided "as is" and "as available", and your participation is voluntary. We do not guarantee that the Program will be available without interruption, that tracking will capture every referral, that any particular number of referrals, conversions, rewards or earnings will result from your participation, or that the Program will continue in its present form. To the maximum extent permitted by law, CargoDuo disclaims all warranties in connection with the Program, whether express, implied or statutory, including any implied warranty of merchantability or fitness for a particular purpose. To the maximum extent permitted by law, CargoDuo's total liability arising out of or relating to the Program and this Agreement will not exceed the total rewards properly Confirmed and payable to you under this Agreement in the twelve (12) months before the event giving rise to the claim, and in no event will CargoDuo be liable for any indirect, incidental, special, consequential or exemplary damages, or for lost profits, revenue or anticipated rewards. The broader disclaimers and limitations in our Terms of Service at /legal/terms also apply to your participation in the Program, and nothing in this Agreement excludes any liability that cannot be excluded under applicable law.
18. Changes to the Program and this Agreement
We may change the Program and this Agreement from time to time — including the reward amounts, the commission rate and duration, the commissionable base, the Holding Period, the Payout Threshold, the eligibility rules and the prohibited practices — and we may add, limit, pause or discontinue the Program or either lane. We will revise the "Last Updated" date above and, for material changes, give notice by email or an in-product notice. Changes are prospective: they apply to Attributions and Qualifying Purchases occurring on or after the effective date, and they do not reduce rewards already accrued on existing Attributions in compliance with the version of this Agreement then in effect. Your continued participation after a change takes effect constitutes acceptance of the revised Agreement; if you do not accept a change, your remedy is to stop participating. The version of this Agreement in effect at the time of a given Attribution governs the rewards arising from it.
19. Governing law, statutory rights and contact
This Agreement is governed by the laws of the Republic of Estonia, and the parties submit to the exclusive jurisdiction of the courts of Tallinn, Estonia for any dispute arising out of or relating to the Program, in each case to be aligned with the governing-law and dispute-resolution provisions of our Terms of Service at /legal/terms. The foregoing is without prejudice to any non-waivable right you have under the mandatory law of your country of residence; nothing in this Agreement limits a right you cannot waive under applicable law. If any provision of this Agreement is held unenforceable, the remaining provisions remain in full force, and our failure to enforce a provision is not a waiver of it. You may not assign your participation or any reward without our prior written consent; we may assign this Agreement to an affiliate or successor.
